AMD and Meta announced a multi-year partnership to deploy up to 6 gigawatts of AMD Instinct GPUs. The AMD Meta partnership agreement was disclosed on February 24, 2026, marking a significant expansion of the companies’ existing collaboration in artificial intelligence infrastructure.
The first gigawatt deployment is scheduled to begin in the second half of 2026. The deployment will use a custom AMD Instinct GPU based on the MI450 architecture, optimized specifically for Meta’s workloads. The systems will run on 6th Gen AMD EPYC CPUs, codenamed “Venice,” and utilize ROCm software built on the AMD Helios rack-scale architecture.
Strategic Roadmap Alignment
The AMD Meta partnership extends beyond GPU deployment to include alignment of silicon, systems, and software roadmaps. AMD Helios was developed jointly by the two companies through the Open Compute Project to enable scalable, rack-level AI infrastructure. Meta has deployed millions of AMD EPYC CPUs and significant quantities of AMD Instinct MI300 and MI350 series GPUs across its global infrastructure.

CPU Partnership Expansion
Meta will serve as a lead customer for 6th Gen AMD EPYC CPUs. The partnership includes “Verano,” a next-generation EPYC processor designed with workload-specific optimizations. As AI infrastructure grows in scale and complexity, CPUs function as a strategic component of the AI compute stack, enabling efficiency, scalability, and orchestration alongside GPUs.

Performance-Based Warrant Structure
AMD issued Meta a performance-based warrant for up to 160 million shares of AMD common stock. The warrant is structured to vest as specific milestones associated with Instinct GPU shipments are achieved. The first tranche vests with the initial 1-gigawatt of shipments, with additional tranches vesting as Meta’s purchases scale to 6 gigawatts.
Vesting is tied to AMD achieving certain stock price thresholds. Exercise is contingent on Meta achieving key technical and commercial milestones. Jean Hu, EVP, CFO and Treasurer at AMD, stated the partnership is expected to drive substantial multi-year revenue growth and be accretive to non-GAAP earnings per share.
