The Saudi Communications, Space and Technology Commission (CST) has mandated that licensed operators must obtain prior written approval before appointing individuals to telecom senior management positions. This regulatory update aims to govern leadership appointments within the Kingdom’s telecommunications sector.

According to a report by Al Yaum, the amendment to Article 13 of the Executive Regulations of the Telecom and IT Law clarifies the specific roles subject to this decision. Licensees must complete all necessary regulatory requirements to secure a “no-objection” status before any leadership changes take effect.

New Approval Mandate for Telecom Senior Management

The commission stated that the new rules apply to all major leadership changes and appointments. Consequently, companies operating in the sector must align their hiring procedures with these updated regulatory standards. This measure supports the broader digital transformation goals of the Kingdom.

Scope of Senior Executive Roles

The regulation defines the covered telecom senior management roles to include board chairmen, board members, board secretaries, and members of board committees. Additionally, the rules cover the highest executive positions, such as chief executive officers, managing directors, general managers, and company presidents.

First-level executive management roles that report directly to the highest executive officer are also subject to these requirements. This ensures comprehensive oversight of key decision-makers across licensed entities, promoting corporate governance.

Interim Assignments and Exceptions

The updated regulations provide an exception for temporary leadership assignments. Specifically, licensees may assign interim management duties for a maximum of 180 days without obtaining prior written approval.

However, companies must notify the commission of such temporary assignments immediately. Furthermore, this 180-day interim period is strictly non-renewable, requiring companies to finalize permanent appointments within the timeframe to avoid regulatory penalties.

Application Process and Unified Form

To facilitate compliance, the commission has developed a unified application form for obtaining the required no-objection decision. This form outlines all the necessary data and documentation required for regulatory review.

The commission will receive applications through designated channels and notify the applicants of its decision in writing. This structured process aims to maintain stability and transparency in the governance of the Saudi economy and its digital infrastructure, aligning with national regulatory frameworks.
